1. Definitions

"Program" means the MarketMasher Affiliate Program managed by Launch Ninjas, Inc.

"Company," "we," "us," or "our" means Launch Ninjas, Inc., the creator and vendor of MarketMasher.

"Affiliate," "you," or "partner" means any individual or entity approved to participate in the Program.

"PayKickstart" means the third-party affiliate management and payment platform used to administer this Program. PayKickstart's own terms of service apply in addition to this policy.

"Affiliate Link" means the unique tracking URL assigned to you through PayKickstart upon approval.

"Commission" means the monetary compensation earned for a qualifying sale attributed to your Affiliate Link.

"Qualifying Sale" means a customer purchase of a MarketMasher product that is (a) processed through your Affiliate Link, (b) not refunded within the 14-day refund window, and (c) not the result of any prohibited activity under this policy.

2. Enrollment & Eligibility

To participate in the Program, you must:

• Submit an affiliate application through PayKickstart at the link provided on this page;
• Be at least 18 years of age;
• Have an active and valid payment account with PayKickstart (PayPal or supported bank transfer);
• Not be a current employee, contractor, or immediate family member of Launch Ninjas, Inc.;
• Operate in compliance with all applicable laws in your jurisdiction.

We reserve the right to approve or deny any application at our sole discretion, without obligation to provide a reason for denial.

3. Commission Structure & Payment Terms

Commissions are earned as follows (subject to change with 14 days' written notice):

• Front-End Product: 30% of the sale price on qualifying front-end purchases;
• OTO / Upsells: 30% on qualifying upgrade purchases;
• Recurring Subscriptions: 10% of each recurring monthly or annual subscription payment for the life of the customer's active subscription;
• Sub-Affiliate (Tier 2): 10% on qualifying sales generated by affiliates you recruit, available only to designated top-tier partners.

Payment schedule: Commissions are paid monthly via PayKickstart, net 30 from the end of the calendar month in which the qualifying sale occurred. No commission is released until the customer's 14-day money-back guarantee period has fully expired without a refund request. Sales where the guarantee window has not yet closed will be held until the following payment cycle.

Minimum payout threshold: $50.00 USD. Balances below this threshold will carry over to the following month.

Payment methods: PayPal (primary) and bank transfer for balances exceeding $1,000 USD (upon request). It is your responsibility to maintain accurate payment information within PayKickstart.

Refund adjustments: If a customer requests a refund within the 14-day guarantee window, any associated commission will be reversed from your balance. We do not pay commissions on refunded transactions.

Chargeback & Dispute Clawback: We expressly reserve the right to claw back any commission already paid to you if the underlying customer subsequently initiates a payment dispute, chargeback, or credit card reversal, regardless of whether the 14-day guarantee period has passed. If a paid commission is clawed back due to a customer dispute, the amount will be deducted from your next scheduled payout. If your balance is insufficient to cover the clawback, we reserve the right to invoice you directly for the outstanding amount.

Cookie window: 30 days. Attribution uses a last-click model. You will not receive credit for sales that occur after the cookie expires or are attributed to another affiliate's last click.

4. Permitted Promotional Activities

Affiliates may promote MarketMasher through the following approved channels and methods:

• Email marketing to opted-in subscribers on your own list, in compliance with CAN-SPAM and all applicable anti-spam laws;
• Blog posts, articles, product reviews, and editorial content on your own websites or platforms;
• YouTube videos, video reviews, and social media posts on your own accounts;
• Paid social media advertising on platforms such as Facebook, Instagram, and LinkedIn, provided you comply with the restrictions in Section 6;
• Organic social media posts, community groups you own or moderate, and podcast content;
• Webinars, livestreams, and training content where you disclose your affiliate relationship.

All promotional content must accurately represent the features and benefits of MarketMasher. You may use provided swipe copy as a starting point, but you are responsible for adapting it to your audience and ensuring it does not contain false or misleading claims.

5. FTC Disclosure & Transparency Requirements

Compliance with the U.S. Federal Trade Commission's Endorsement Guides (16 C.F.R. Part 255) is mandatory for all affiliates, regardless of your country of residence.

You must:

• Clearly and conspicuously disclose your affiliate relationship any time you promote MarketMasher and receive compensation for doing so;
• Place the disclosure in close proximity to the affiliate link or promotional claim, not buried in a footnote, a separate disclosure page, or below the fold;
• Use plain language that a general consumer can understand, such as: "This is an affiliate link, I earn a commission if you purchase, at no extra cost to you" or "#ad #affiliate";
• Ensure disclosures are visible on all devices and platforms where the promotional content appears.

You may not:

• Publish fake, fabricated, or purchased reviews of MarketMasher;
• Make earnings claims (e.g., "I made $X using MarketMasher") unless those claims are truthful, substantiated by your actual results, and accompanied by a clear disclaimer that results are not typical;
• Imply that MarketMasher endorses, sponsors, or is affiliated with your personal brand or company;
• Represent MarketMasher features or pricing inaccurately in any marketing material.

6. Prohibited Activities

The following activities are strictly prohibited and will result in immediate termination, commission forfeiture, and potential legal action:

1. Spam: Sending unsolicited commercial email (spam) in violation of the CAN-SPAM Act of 2003. All email marketing must be to opted-in lists. Email subject lines must accurately reflect the content of the email. You are identified as the "Sender" under applicable marketing laws.
2. Cookie Stuffing / Cookie Dropping: Placing tracking cookies on users' devices without their knowledge or consent through deceptive means, unauthorized scripts, or iframe injection.
3. Trademark Bidding: Bidding on or purchasing keywords in any paid search platform (Google Ads, Bing Ads, etc.) that include "MarketMasher," "Launch Ninjas," "Masher," or any variation or misspelling of these terms. You may not create paid search ads that lead to your affiliate link using our branded terms.
4. Direct Linking in Paid Ads: Running paid advertisements that link directly to the MarketMasher sales page via your affiliate link, without an intervening bridge page or pre-sell page you own.
5. False or Misleading Claims: Making inaccurate representations about MarketMasher's features, pricing, guarantees, or results, including fabricated screenshots, fake testimonials, or unsubstantiated income claims.
6. URL Masking / Link Cloaking that Deceives: Disguising your affiliate link in a way that deceives users about the actual destination or hides the affiliate relationship from our tracking systems.
7. Self-Referrals: Using your own affiliate link to purchase MarketMasher for yourself, your business entities, family members, or associates for the purpose of earning a commission.
8. Incentivized Clicks: Offering cash, credits, or other incentives to users in exchange for clicking your affiliate link, without explicit prior written approval from Launch Ninjas, Inc.
9. Adware / Toolbar Promotions: Distributing your affiliate link through browser toolbars, adware, or software installs without a user's clear and informed consent.
10. Unauthorized Coupon Codes: Publishing, distributing, or using leaked, expired, or unauthorized discount codes in association with your affiliate link.
11. Competing with Our Paid Search: Running paid ads that compete directly with Launch Ninjas, Inc.'s own advertising campaigns for MarketMasher traffic.
12. Prohibited Content Channels: Promoting via adult content sites, gambling platforms, sites promoting hate speech or discrimination, or any platform that violates applicable law.
13. Domain Name Misuse: Registering any domain name containing "MarketMasher," "Masher," or any confusingly similar variation.

7. CAN-SPAM & Email Marketing Compliance

All affiliates who use email to promote MarketMasher must comply with the CAN-SPAM Act of 2003 (Public Law No. 108-187). Your email marketing must:

• Be sent only to subscribers who have opted in to receive marketing communications from you;
• Clearly identify you as the sender, emails must not imply they are sent on behalf of Launch Ninjas, Inc. or MarketMasher;
• Include an accurate and valid physical mailing address;
• Include a clear and functional unsubscribe mechanism that is honored within 10 business days;
• Use subject lines that accurately reflect the content of the email;
• Not use deceptive headers, false sender information, or misleading routing information.

Launch Ninjas, Inc. is not responsible for email campaigns sent by affiliates. You are solely liable for your compliance with applicable email marketing laws.

8. Brand Assets & Intellectual Property

We grant you a limited, non-exclusive, non-transferable, revocable license to use approved MarketMasher brand assets (logos, product images, swipe copy, and banners) solely for the purpose of promoting the Program during your active enrollment.

You must:

• Use only brand assets provided or approved by Launch Ninjas, Inc.;
• Not alter, modify, distort, or create derivative works from our logos or product images;
• Not use our trademarks in a manner that implies endorsement beyond the affiliate relationship;
• Immediately cease all use of brand assets upon termination of your affiliate participation.

All intellectual property rights in MarketMasher, the Masher ecosystem, and related assets remain the exclusive property of Launch Ninjas, Inc. Your participation in this Program does not grant you any ownership interest in any of these assets.

9. Termination & Suspension

Either party may terminate this affiliate relationship at any time with written notice (email is sufficient).

We may immediately terminate your affiliate account and forfeit unpaid commissions without notice if you:

• Violate any provision of this policy;
• Engage in fraud, deception, or any prohibited activity;
• Generate traffic or leads through methods we determine, in our sole discretion, to be low-quality, fraudulent, or damaging to our brand;
• Breach PayKickstart's terms of service.

Upon termination, you must immediately remove all affiliate links, brand assets, and references to the Program from your properties. Commissions earned for qualifying sales prior to termination (excluding any that violate this policy) will be paid on the next regular payment cycle, provided no investigation is pending.

10. Fraud Prevention & Quality Monitoring

We reserve the right to monitor affiliate traffic, click patterns, and conversion data for quality and fraud prevention purposes. We may, without prior notice:

• Pause or hold commissions pending review of suspicious activity;
• Void commissions generated through fraudulent means, self-referrals, IP overlap, unusual velocity, or excessive refund rates;
• Demand repayment of previously paid commissions if fraud is discovered retroactively;
• Share information with PayKickstart and, if required, law enforcement.

We track referrals using industry-standard methods including cookie-based attribution, IP logging, and device fingerprinting through PayKickstart's infrastructure.

11. Data, Privacy & Compliance

Affiliate tracking relies on cookies placed on the devices of users who click your Affiliate Link. You are responsible for ensuring your promotional properties include a privacy policy that discloses this tracking to your users, in compliance with GDPR (where applicable), CCPA (for California residents), and any other applicable data protection laws.

Launch Ninjas, Inc.'s collection and use of customer data is governed by the MarketMasher Privacy Policy available on the product website. You do not have the right to access, use, or share customer data collected through your affiliate promotions beyond what is provided in your PayKickstart affiliate reports.

12. Confidentiality

Any non-public information shared with you as part of the affiliate relationship, including but not limited to unpublished commission rates, product roadmap details, launch strategies, and promotional calendars, is confidential. You agree not to disclose such information to any third party without our prior written consent.

13. Modifications to This Policy

Launch Ninjas, Inc. may update this Affiliate Program Policy at any time. We will provide at least 14 days' notice of material changes via email to the address on file in your PayKickstart account. Continued promotion of MarketMasher after the effective date of any update constitutes your acceptance of the revised terms.

14. Disclaimer of Warranties & Limitation of Liability

The MarketMasher Affiliate Program is provided "as is." Launch Ninjas, Inc. makes no representation that the Program will be uninterrupted or error-free, or that commissions will reach any particular level.

In no event shall Launch Ninjas, Inc. be liable for any indirect, incidental, special, consequential, or punitive damages arising from your participation in the Program, including lost profits, whether or not we have been advised of the possibility of such damages.

Our total cumulative liability to you in connection with this Program shall not exceed the total commissions paid to you in the three (3) months preceding the event giving rise to the claim.

15. Governing Law

This Agreement is governed by the laws of the State of Texas, United States of America, without regard to conflict of law principles. Any disputes arising from this Agreement shall be resolved by binding arbitration in Collin County, Texas, or by a court of competent jurisdiction located therein.
